<h3>Independent Associate Replicated Website and Back-Office Terms of Use</h3>

<p>Your use of this RenovoVita, LLC (&ldquo;RenovoVita,&rdquo; &ldquo;Company,&rdquo; &ldquo;we,&rdquo; &ldquo;our,&rdquo; &ldquo;Our,&rdquo; &ldquo;We,&rdquo; &ldquo;us,&rdquo; or &ldquo;Us.&rdquo;) website and/or back-office (the &ldquo;Site&rdquo;) is subject to the following terms of use. If you are a visitor and are not an RenovoVita IA, and you do not agree to these terms of use, your sole recourse is to leave the Site. If you are an RenovoVita IA and you do not agree to these terms of use, your sole recourse is to cancel your RenovoVita IA Agreement and not to use the Site. If you are a RenovoVita Independent Associate (hereinafter &ldquo;IA&rdquo;), violation of these Terms of Use may result in disciplinary action against your RenovoVita Business as set forth in RenovoVita&rsquo;s Terms a&amp; Policies.</p>

<ol>
	<li>Special terms apply to some services offered on your Site, such as subscription-based services, product purchases, rules for particular contests or sweepstakes or other features or activities. These terms will be posted in connection with the applicable service. Any such terms are in addition to these Terms of Use and, in the event of a conflict, prevail over these Terms of Use.</li>
	<li>The Company may amend these Terms of Use at its discretion. Amendments shall become effective 30 days after publication of notice is posted under the Terms of Use tab to this website. Amendments shall not apply retroactively to conduct that occurred prior to the effective date of the amendment. The Company may change the Site or delete Content or features of the Site at any time, in any way, for any or no reason at our discretion.</li>

	<li>Links from the Site to third party web sites may be provided by the Company. If so, they are provided solely as a convenience to you. If you use such links, you will leave the Site. The Company has not reviewed all such third-party sites (if any) and does not control, and is not responsible for, any of these web sites and their content. The Company does not endorse or make any representations about such web sites or any information or materials found there, or any results that may be obtained from using them. If you access any third -arty web sites linked from the Site, you do so at your own risk.</li>
	<li>If you link to the Site from another website (which includes, but is not limited to, social media sites), the following restrictions apply to the site to which you link and the link itself:

		<li>The site/link shall not imply, either directly or indirectly, that RenovoVita is endorsing its products, services, mission, beliefs, or any other aspect of the site or those sponsoring the site;</li>
		<li>You must comply with the provisions of Section 11;</li>
		<li>The site/link shall not use any of the Company&rsquo;s Trademarks or the Trademarks of our licensors;</li>
		<li>The site/link shall not contain content or material that could be construed as offensive, controversial or distasteful and should only contain content that is appropriate for all age groups;</li>
		<li>The site/link shall not disparage RenovoVita, its officers, agents, employees, products, or services in any way or otherwise negatively affect or harm its/their reputation and goodwill;</li>
		<li>The site/link from which you link shall not present false or misleading information about the Company or the RenovoVita opportunity;</li>
		<li>The site/link shall not misrepresent any relationship with RenovoVita;</li>
		<li>The site/link shall not replicate in any manner any content in the Site; and</li>
		<li>The site/link shall not create a browser or border environment around Site material.</li>

	<li>For purposes of these Terms of Use, the word &ldquo;Submissions&rdquo; means text, content, advertisements, promotional material, graphics, audios, text, messages, ideas, concepts, suggestions, artwork, photographs, drawings, videos, audiovisual works, your and/or other persons&rsquo; names, likenesses, voices, usernames, profiles, actions, appearances, performances and/or other biographical information or material, and/or other similar materials that you submit, post, upload, embed, display, communicate, advertise, or otherwise distribute on or through the Site.
	<p>RenovoVita is pleased to receive your comments, suggestions, and Submissions regarding the Site, our products and services, and our opportunity. If you transmit to RenovoVita, post, or upload any Submissions to or through the Site, you grant the Company and its associates a non-exclusive, royalty-free, perpetual and irrevocable right to use, reproduce, modify, adapt, publish, translate, distribute and incorporate such Submissions and the names identified on the Submissions throughout the world in any media for any and all commercial and non-commercial purposes.</p>

	<p>By communicating a Submission to the Company, you represent and warrant that the Submission and your communication thereof conform to the Rules of Conduct set forth in Paragraph 11 below and all other requirements of these Terms of Use and that you own or have the necessary rights, licenses, consents and permissions, without the need for any permission from or payment to any other person or entity, to exploit, and to authorize us to exploit, such Submission in all manners contemplated by these Terms of Use.</p>

	<li>Some services on the Site permit or require you to create an account to participate in or to secure additional benefits. You agree to provide, maintain and update true, accurate, current and complete information about yourself as prompted by our registration processes. You shall not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity, including using another person&rsquo;s username, password or other account information, or another person&rsquo;s name, likeness, voice, image or photograph. You acknowledge that Public Forums and features offered therein are for public and not private communications, and you have no expectation of privacy with regard to any Submission to a Public Forum. 	<li>You agree that you will not upload, post, or otherwise distribute, or link to or from the Site any Submission, Content, or material that:
	<ul>
		<li>Directly or indirectly promotes or advertises any non-RenovoVita business opportunity;</li>
		<li>Is defamatory, abusive, harassing, threatening, or an invasion of a right of privacy of another person; (b) is bigoted, hateful, or racially or otherwise offensive; (c) is profane, violent, vulgar, obscene, pornographic, or otherwise sexually explicit; (d) otherwise harms or can reasonably be expected to harm any person or entity; (e) is libelous, slanderous, defamatory, or violates the law.</li>
		<li>Is illegal or encourages or advocates illegal activity or the discussion of illegal activities with the intent to commit them, including a Submission that is, or represents an attempt to engage in, child pornography, stalking, sexual assault, fraud, trafficking in obscene or stolen material, drug dealing and/or drug use, harassment, theft, or conspiracy to commit any criminal activity;</li>
		<li>Infringes or violates any right of a third party including: (a) copyright, patent, trademark, trade secret or other proprietary or contractual rights; (b) right of privacy (specifically, you must not distribute another person&rsquo;s personal information of any kind without their express permission) or publicity; or (c) any confidentiality obligation;</li>

		<li>Violates RenovoVita&rsquo;s Terms &amp; Policies.</li>

	<p>We cannot and do not assure that other users are or will be complying with the foregoing Rules of Conduct or any other provisions of the Agreement, and, as between you and RenovoVita, you hereby assume all risk of harm or injury resulting from any such lack of compliance.</p>

	<li>Because any activities that occur under your username and/or login ID are your responsibility it is important for you to keep your information secure. Notify the Company immediately if you believe that someone has used your username or login ID without your authorization.</li>
	<li>RenovoVita reserves the right, but disclaims any obligation or responsibility, to (a) refuse to post, or remove, any Submission from the Site that violates these Terms of Use; and (b) identify any user to third parties; and/or (c) disclose to third parties any Submission or personally identifiable information when we believe in good faith that such identification or disclosure will either: (i) facilitate compliance with laws, including but not limited to, compliance with a court order or subpoena, or (ii) help to enforce the Agreement and/or protect the safety or security of any person or property, including the Site. Moreover, we retain all rights to remove Submissions at any time for any reason or no reason whatsoever.</li>
	<li>RenovoVita may suspend or terminate your ability to use the Site, or any portion of the Site, for failure to comply with these Terms of Use, for breach of your IA Agreement, or as the Company deems necessary to protect its business or intellectual property interests. Upon the cancellation of your Independent RenovoVita business for any reason, your access to the Site shall be terminated.</li>
	<li>The Site is intended for viewing and use in the United States and countries that the Company has designated are officially open for business. You shall not use the Site to conduct business or sales in any country that the Company has not announced is officially open for business.</li>

	<li>Without the prior written consent of Company, you may not: (a) transfer, assign, rent, use, copy or modify the Site or the web pages created through the Site, in whole or in part, except as expressly permitted in this Agreement; (b) decompile, reverse assemble or otherwise reverse engineer the Site, except to the extent the foregoing restriction is expressly prohibited under applicable law; (c) reproduce, disclose, market, lease, transfer, distribute or revise the Site or the associated web pages; (d) distribute any executable versions of the Site to third parties or use such executables in excess of the limitations set forth above; (e) use the Site to provide facility management, service bureau or other access or use of the program for the benefit of third parties; (f) You will not remove, alter or destroy any copyright notices, proprietary legends or other indicia of ownership.</li>
	<li>Company may offer features such as bulletin boards or e-mail functions as part of the Site (referred to as &quot;Interactive Medium&quot;). You may not submit any material that is unlawful, harmful, harassing, threatening, abusive, hateful, libelous, defamatory, obscene, pornographic, profane, vulgar, indecent, sexually explicit or otherwise objectionable that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable law. Please do not submit any material that is protected by copyright, patent, or other proprietary right without obtaining permission of the copyright or patent owner or licensor.
	<p>The Interactive Medium shall not be used for any commercial purposes. You will not submit any material to solicit funds or to promote, advertise, or solicit the sale of any other goods, services, businesses or business opportunities. You are expressly prohibited from soliciting other guests of the Site Interactive Medium to become members of any network marketing company or business opportunity.</p>

	<p>Any information or material submitted by you to the Company through the Interactive Medium will be deemed non-proprietary and non-confidential and may be used by Company without restriction. Without limiting the foregoing, by offering any information or material through the Company Site (e.g., through chat, bulletin boards, e-mail, contests or otherwise), you grant to Company the worldwide, perpetual, royalty-free, irrevocable, nonexclusive right and license to use, reproduce, modify, edit, publish, make derivative works from and distribute such information or materials in any and all forms and media, now or hereafter discovered. Notwithstanding the foregoing, all personal data (e.g., name, address and telephone number) provided to Company will be handled in accordance with Company&rsquo;s Security and Privacy Statement.</p>

	<p>Company reserves the right, in its sole discretion, to edit any submission, and to choose to include or not include such submission in the Interactive Medium. The Interactive Medium includes the opinions, statements and other content of third parties. We are not responsible for screening, monitoring or verifying such content, including such content&#39;s accuracy, reliability or compliance with copyright or other laws. Any opinions, statements or other content expressed by third parties are those of such third parties and not of Company. Company does not endorse any such opinion, statement or other material posted on or accessible through the Interactive Medium.</p>
	</li>
	<li><strong>Dispute Resolution. </strong>This Agreement is governed by the laws of the State of Arizona. The offer extended by this Agreement, and any acceptance of its terms, shall occur in Maricopa County, State of Arizona Any dispute arising from or relating to these Terms of Use shall be brought in the courts of the State of Arizona residing in Maricopa County. Each party to a dispute arising from or relating to this privacy policy shall bear his/her/its own attorney&rsquo;s fees, costs, and expenses
	<p><strong>If a visitor to this site wishes to bring an action for the breach of this Agreement, he/she shall do so on an individual basis. Visitors waive all rights to bring an action on a class or consolidated basis. </strong></p>

	<p>If an IA combines claims under these Terms of Use with any claim that is covered by the dispute resolution provisions in RenovoVita&rsquo;s Policies and Procedures that are applicable to VIPs, the dispute resolution provisions of the RenovoVita Policies and Procedures shall be applied in lieu of this dispute resolution provision.</p>

	<li>&ldquo;Confidential Information&rdquo; includes, but is not limited to, information about Independent VIPs and Customers that is contained in or derived from the Site and/or any reports issued by RenovoVita to VIPs to assist them in operating and managing their RenovoVita business which are posted or made available on the Site. This Confidential Information constitutes proprietary business trade secrets belonging exclusively to RenovoVita and is provided to Independent VIPs in strict confidence. Confidential Information shall not be directly or indirectly disclosed to any third party nor used for any purpose other than IA&rsquo;s use in building and managing his/her Independent RenovoVita business.</li>
	<li>By using the Site, you authorize the Company to periodically send you information and updates relating to the Company&rsquo;s business, products, programs, promotions, and other matters.</li>
	<li>Use of the Site is a privilege and not a right. RenovoVita reserves the right to restrict or prevent access to the Site of any IA who violates these Terms of Use, the RenovoVita IA Agreement, or the RenovoVita Policies and Procedures.</li>
	<li>RenovoVita does not guarantee that the Site will be free from interruption. The Site may be subject to shutdowns from time to time for maintenance, technical issues, and/or causes beyond RenovoVita&rsquo;s control. You agree that RenovoVita shall have no liability for any loss caused by any shut down or interruption.</li>
	<li>If User no longer agrees to be bound by these Terms and Conditions, User must cease use of this Web site. If User is dissatisfied with this Web site, its content, or any of these terms, conditions, and policies, User&#39;s sole legal remedy is to discontinue using this Web site. RenovoVita reserves the right to terminate or suspend your access to and use of this site, or parts of this site, without notice, if we believe, in our sole discretion, that such use is (i) in violation of any applicable law; (ii) is harmful to our interests or the interests, including intellectual property or other rights, of another person or entity; or (iii) RenovoVita has reason to believe that User is in violation of these Terms and Conditions of Use.</li>

The site or App you have entered (collectively the &ldquo;Site&rdquo;) is operated by RenovoVita but is hosted on the server of RenovoVita&rsquo;s third-party technology provider. The information you submit on this Site is sent to / accessed by RenovoVita and not the Independent IA to whom this Site is assigned (except as set forth in this privacy policy). By visiting this Site and providing information to RenovoVita you consent to the following privacy policy, use and disclosure of information.</p>

<h2><strong>INFORMATION COLLECTION</strong></h2>

<h3>Personal Identifiable Information</h3>

<p>Through your use of or visits to the Site, you may be required or requested to provide personally identifiable information to us. Personally identifiable information is any piece of information that can potentially be used to uniquely identify, contact, or locate a single person including names, account names, addresses, email addresses, telephone numbers, I.P. addresses, social security and tax identification numbers, and credit card or banking information.</p>

<h3>IA and Customer Information</h3>

<p>In order to become an IA or customer, you must provide biographical and contact information (such as name, mailing address, telephone numbers, and email address) to us.&nbsp; IA applicants must also provide personal information such as an applicant&rsquo;s Social Security Number or Federal Tax ID Number so that we may prepare and file necessary non-employee compensation forms for the IRS. IAs and customers are also required to provide payment information (such as credit card, debit card, or checking account information). We use this information to maintain contact with IAs and customers, to process IA and customer orders, and for billing purposes.</p>

<h3>We Use Cookies</h3>

<p>This site uses cookies to help us understand user behavior. This means that we put a small piece of text (the &ldquo;cookie&rdquo;) in storage on your web browser. This cookie lets us know that all the different things you do on our site are done by the same person. We do not collect or harvest any personally identifiable information. The only information we have about your identity is the information you explicitly provide to us through submission forms on our website. <h3>Personal Identifiable Information</h3>

<p>RenovoVita DOES NOT share personally identifiable information except with contracted service providers as may be necessary to: (a) process orders and/or returns and obtain payment; (b) complete an enrollment as an IA or customer; (c) maintain our genealogy database; (d) issue payment and report income to taxing authorities; (e) maintain communication with you; (f) to upline IA(s) as described in the Genealogy Information section; (g) assign prospective customer or IA leads to existing IAs; (h) to assign a sales or enrollment lead to an IA; (i) to governmental agencies or third parties as required pursuant to law or legal process; and (j) third-parties as necessary to conduct surveys or gather information and data as RenovoVita deems appropriate to assist in managing the company.</p>

<h3>Genealogy Information</h3>

<p>As a network marketing company, RenovoVita provides certain information to IAs regarding the other IAs and Customers enrolled in an IA&rsquo;s downline marketing organization. If you enroll as an IA or Customer with RenovoVita, your name, email address, telephone number, and sales volume information will be provided to other IAs as downline genealogy information. No other personally identifiable information will be shared with other IAs. Information relating to downline IAs is made available to RenovoVita IA subject to a confidentiality and non-solicitation covenant in the agreement that each IA enters into with RenovoVita. However RenovoVita does not warrant that other IAs will adhere to the confidentiality and non-solicitation covenants, and RenovoVita shall not be responsible for IAs&rsquo; violation of these covenants.&nbsp;</p>

<h3>Sales Information</h3>

<p>If you make a purchase from an IA&rsquo;s Replicated Website, we will provide the IA to whom the Replicated Website is assigned with your name, contact information, a description of the item(s) purchased, and the sales volume associated with the purchase. No other personally identifiable information will be shared with the IA. If you are an IA, a description of the item(s) purchased and the sales volume associated with the purchase will be provided to your upline.</p>

<h3>Aggregate Information (non-personally identifiable)</h3>

<p>RenovoVita may share aggregated demographic information with our partners, vendors, suppliers, third party providers, and advertisers. This is not linked to any personally identifiable information.</p>

<h3>Business Transitions</h3>

<p>In the event RenovoVita goes through a business transition, such as being acquired by another company, or selling all or part of its assets, the personal information of IAs and customers will, in most instances, be part of the assets transferred. In such a case your personally identifiable information will be transferred to the acquiring individual or entity and shall be subject to the privacy policy of the individual or entity that acquires RenovoVita.</p>

<h2>MISCELLANEOUS</h2>

<h3>Dispute Resolution</h3>

<p>This privacy policy is governed by the laws of the State of Arizona. The offer extended by this Agreement, and any acceptance of its terms, shall occur in Maricopa County, State of Arizona. Any dispute arising from or relating to this privacy policy shall be brought in the courts of the State of Arizona residing in Maricopa County. The parties stipulate to exclusive jurisdiction before such court and further stipulate that venue is proper before such court. Each party to a dispute arising from or relating to this privacy policy shall bear his/her/its own attorney&rsquo;s fees, costs, and expenses</p>

<p><strong>If a visitor to this site wishes to bring an action for the breach of this privacy policy, he/she shall do so on an individual basis. Visitors waive all rights to bring an action on a class or consolidated basis.</strong></p>

<p>RenovoVita&trade; BA Terms &amp; Policies</p>

<ol>
	<li><strong>The Agreement. </strong>The term &ldquo;Agreement&rdquo; collectively refers to these Terms and Policies, the RenovoVita Compensation Plan, Brand Ambassadors shall be referred to herein as &ldquo;BAs.&rdquo; RenovoVita, Inc. shall be referred to as &ldquo;RenovoVita&rdquo; or the &ldquo;Company.&rdquo; Any promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect.</li>
	<li><strong>W-9 Form Required. </strong>RenovoVita utilizes the services of a third-party payment provider to pay commissions. You will be promoted to submit an IRS Form W-9 to our payment provider during the enrollment process.</li>
	<li><strong>Adherence to the Agreement.</strong> BAs must comply with the Agreement. If you have not yet reviewed the Terms and Policies at the time you execute this Agreement, they are posted in your BA Virtual Office. You must review the Terms and Policies within five days from the date on which you execute this Agreement. If you do not agree to the Terms and Policies, your sole recourse is to notify the Company and cancel your RenovoVita Agreement. Failure to cancel constitutes your acceptance of the Terms and Policies. You must be in good standing, and not in violation of the Agreement, to be eligible for bonuses or commissions from RenovoVita.</li>
	<li><strong>Amendments to the Agreement.</strong> The Company reserves the right to amend the Agreement at its discretion. Amendments shall be effective 30 days after notice and publication of the amended provisions in each IA&rsquo;s Virtual Office, but amendments shall not apply retroactively to conduct that occurred prior to the effective date of the amendment. If you do not agree to any amendments, your sole recourse is to cancel your RenovoVita Agreement.</li>
	<li><strong>BAs&rsquo; Rights. </strong>BAs for RenovoVita, LLC (hereinafter &ldquo;RenovoVita, &ldquo;):
	<ul>
		<li>Have the right to sell, and solicit orders for, RenovoVita products in accordance with these Terms and Policies. It is within the exclusive right of RenovoVita to accept or reject orders submitted by BAs;&nbsp;</li>
	</ul>
	</li>
	<li><strong>Independent Contractor Status. </strong>BAs are independent contractors and not employees, partners, legal representatives, or franchisees of RenovoVita, Inc. BAs are solely responsible for paying all expenses they incur, including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other business expenses. <strong>BAs SHALL NOT BE TREATED AS A RenovoVita EMPLOYEE FOR FEDERAL OR STATE TAX PURPOSES.</strong> RenovoVita is not responsible for withholding and shall not withhold or deduct FICA, or taxes of any kind from BAs&rsquo; compensation. BAs are not entitled to workers compensation or unemployment security benefits of any kind from RenovoVita.</li>
	<li><strong>Assignment of Rights and Delegation of Duties</strong>. BAs may not assign any rights under the Agreement without the prior written consent of RenovoVita, Inc. Any attempt to transfer or assign the Agreement without the express written consent of RenovoVita renders the Agreement voidable at the option of RenovoVita and may result in termination of your RenovoVita business.<br />
	If the assets of RenovoVita, or a controlling ownership interest in RenovoVita, is transferred to a third party, RenovoVita may assign its rights and delegate its duties and obligations under the Agreement to such third party as part of the sale or transfer.</li>
	<li><strong>Waiver</strong>. Any waiver by either Party of any breach of the Agreement must be in writing and signed by an authorized agent of the Party against which the waiver is asserted. Any waiver of a breach by a Party shall be a one-time waiver only and shall not operate or be construed as a waiver of any subsequent breach.</li>
	<li><strong>Waiver of Right of Publicity. </strong>BAs grant RenovoVita an irrevocable license to reproduce and use their name, photograph, video, personal story, testimonial, and/or likeness in its advertising or promotional materials, including but not limited to use in online forums. BAs waive all claims for remuneration for such use and all rights to inspect or approve all draft, beta, preliminary, and finished material.</li>
	<li><strong>Minimum Age</strong>. Persons under age 18 may not be BAs and no BA shall knowingly recruit or sponsor, or attempt to recruit or sponsor, any person under age 18.</li>
	<li><strong>Severance. </strong>If any provision of the Agreement, in its current form or as amended, is held void or unenforceable, only the void or unenforceable portion(s) of the provision shall be severed from the Agreement and the remaining provisions shall remain in effect. The severed provision shall be reformed so that it is in compliance with the law and reflects the purpose of the original provision as closely as possible. The existence of any claim or cause of action of a BA against RenovoVita shall not constitute a defense to RenovoVita&rsquo;s enforcement of any term or provision of the Agreement.</li>
	<li><strong>Term and Renewal of a RenovoVita Business.</strong> The term of this agreement is month to month (subject to cancellation pursuant to the Terms and Policies). It shall automatically renew each month. <strong>A participant in this program has a right to cancel at any time, regardless of reason.</strong> Cancellation must be submitted in writing to the company at its principal business address or via the BA&rsquo;s Virtual Office.</li>
	<li><strong>Maryland Residents</strong>: A participant may cancel the contract for any reason within 3 months after the date of receipt of goods or services first ordered; upon cancellation, the Company shall repurchase the goods; and the repurchase price shall be at least 90% of the original price paid by the participant.</li>
	<li><strong>General Conduct. </strong>BAs shall safeguard and promote the good reputation of RenovoVita and its products, and must avoid all illegal, deceptive, misleading, unethical or immoral conduct or practices, and must exhibit high moral character in their personal and professional conduct. BAs shall not engage in any conduct that may damage the Company&rsquo;s goodwill or reputation. While it is impossible to specify all misconduct that would be contrary to this provision, and the following list is not a limitation on the standards of conduct to which&nbsp; must adhere pursuant to this section, the following standards specifically apply to BAs&rsquo; activities:</li>
	<li>
	<ul>
		<li>Deceptive conduct is always prohibited. BAs must ensure that their statements are truthful, fair, accurate, and are not misleading;&nbsp;RenovoVita does not guarantee financial success or that a&nbsp;business will be profitable.</li>
		<li>If a BA&rsquo;s RenovoVita business is cancelled for any reason, the BA must discontinue using the RenovoVita name, and all other RenovoVita intellectual property, and all derivatives of such intellectual property, in postings on all Social Media, websites, or other promotional material.</li>
		<li>BAs may not represent or imply that any state or federal government official, agency, or body has approved or endorses RenovoVita, its program, or products.&nbsp;</li>
		<li>BAs must not engage in any illegal, fraudulent, deceptive, or manipulative conduct in their business or their personal lives that, in the Company&rsquo;s sole discretion, could damage the Company&rsquo;s reputation or the culture that exists within the field sales force.</li>
	</ul>
	</li>
</ol>

<ol start="15">
	<li><strong>Social Media.</strong> In addition to meeting all other requirements specified in these Terms &amp; Policies, should a BA utilize any form of social media in connection with her RenovoVita business, including but not limited to blogs, Facebook, Twitter, Linkedin, YouTube, or Pinterest, the BA agrees to each of the following:</li>

	<li>
	<ul>
		<li>BAs are responsible for the content of all material that they produce and all of their postings on any social media site, as well as <strong><em>all</em></strong> postings on any social media site that they own, operate, or control.</li>
		<li>BAs shall not make any social media postings, or link to or from any postings or other material that is sexually explicit, obscene, pornographic, offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing, or discriminatory (whether based on race, ethnicity, creed, religion, gender, sexual orientation, physical disability, or otherwise), is graphically violent, is solicitous of any unlawful behavior, that engages in personal attacks on any individual, group, or entity, or is in violation of any intellectual property rights of the Company or any third party.</li>
		<li>&middot; No product sales or enrollments may occur on or through any social media site. To process sales or enrollments, a social media site must link only to the BA&rsquo;s RenovoVita replicated website, RenovoVita&rsquo;s corporate website or an official RenovoVita corporate social media page.</li>
		<li>It is each BA&rsquo;s responsibility to follow the social media site&rsquo;s terms of use.</li>
		<li>Any social media site that is directly or indirectly operated or controlled by a BA that is used to discuss or promote RenovoVita&rsquo;s products, or the RenovoVita opportunity may not link to any website, social media site, or site of any other nature that promotes the products, services, or business program of any direct selling company other than RenovoVita.</li>
		<li>During the term of the Agreement and for 12 calendar months after the cancellation of an BA&rsquo;s business for any reason, a BA shall not take any action on any social media site on which they discuss or present, or have discussed or presented, RenovoVita&rsquo;s products or the RenovoVita business that may reasonably be foreseen to draw an inquiry from RenovoVita&rsquo;s BAs relating to the BA&rsquo;s other direct selling business activities or products. Violation of this provision shall constitute a violation of the nonsolicitation provision in Policy 26.</li>
		<li>BAs shall respect the privacy of other social media users. BAs shall not engage in abusive social media practices including but not limited to harvesting or trolling for connections, shaming or bullying others.</li>
	</ul>
	</li>
</ol>

<ol start="16">
	<li><strong>BA Web Sites, Mobile Applications and Collateral Sales Tools</strong>. BAs may create their own websites or mobile applications, and other collateral sales tools to promote RenovoVita&rsquo;s products and services (websites, mobile applications and collateral sales tools shall be collectively referred to as &ldquo;Tools.&rdquo; but such Tools must comply with the following:</li>
</ol>

	<li>
	<ul>
		<li>Tools may not take and/or process product or service orders or product sales.</li>
		<li>Any external website (or mobile app) must be directed to the BA&rsquo;s replicated website to process sales.</li>
		<li>The Tools must clearly and conspicuously identify the BA who is using the Tools and must clearly and conspicuously disclose that he/she is a RenovoVita BA, and that the Tools are not RenovoVita&rsquo;s corporate Tools.</li>
		<li>The Tools must exclusively promote RenovoVita&rsquo;s products;</li>
		<li>The Tools must comply with all provisions of RenovoVita&rsquo;s Terms &amp; Policies;</li>
	</ul>
	</li>
</ol>

<ol start="17">
	<li><strong>Trademarks and Copyrights.</strong> The name &ldquo;RenovoVita&rdquo; and other names as may be adopted by the Company are proprietary trade names, trademarks and service marks of RenovoVita. The Company grants BAs a limited license to use its trademarks and trade names in promotional media for so long as the BA&rsquo;s Agreement is in effect. Upon cancellation of an BA&rsquo;s Agreement for any reason, the license shall expire and the BA shall immediately discontinue all use of the Company&rsquo;s trademarks and trade names. Under no circumstances may a BA use any of RenovoVita&rsquo;s trademarks or trade names in any email address, website domain name, social media handle, social media name or address. RenovoVita commonly puts on live and recorded events as well as webinars and telephone conference calls. During these events Company executives, BAs, and guests appear and speak. The content of such events is copyrighted material that is owned exclusively by the Company. BAs may not record company functions for any reason, whether such event is live, a webinar, via conference call, or delivered through any other medium.<br />
	In addition, Company produced Sales Tools, videos, audios, podcasts, and printed material is also copyrighted. BAs shall not copy any such materials for their personal or business use without the Company&rsquo;s prior written approval.</li>
	<li><strong>Sales Outlets</strong>. To support the Company&rsquo;s direct selling distribution channel and to protect the independent contractor relationship, BAs agree that they will not sell RenovoVita products in any wholesale, warehouse, or discount establishment, or any online auction or buy-sell site (including but not limited to eBay) without prior written approval from RenovoVita. Notwithstanding the foregoing, BAs may display and sell RenovoVita products at professional trade shows.</li>
	<li><strong>Service-Related Establishments.</strong> BAs shall not promote or sell RenovoVita products in service-related establishment without the Company&rsquo;s prior written approval. Such establishments include offices of doctors, dentists and other health professionals; health clubs or fitness centers; beauty salons; and any other business where customer use of the establishment is controlled by membership or appointment. RenovoVita reserves the right to make the final determination as to whether an establishment is service-related or is a proper place for the sale of its products.</li>
	<li><strong>Product Claims. </strong>BAs must not make claims, including but not limited to testimonials, about RenovoVita&rsquo;s products or services that are not contained in official RenovoVita literature or posted on RenovoVita&rsquo;s official website. Under no circumstances shall any BA state or imply that any RenovoVita product is useful in the diagnosis, treatment, cure, or prevention of any disease, illness, injury, or other medical condition.</li>
	<li><strong>Media Inquiries.</strong> BAs must not interact with the media regarding the RenovoVita business or products. All inquiries from the media, including radio, television, print, online, or any other medium, shall be directed to RenovoVita&rsquo;s marketing department.</li>
	<li><strong>Confidential Information</strong>. &ldquo;Confidential Information&rdquo; includes, but is not limited to, the identities, contact information, and/or sales information relating to RenovoVita&rsquo;s BAs and/or customers: (a) that is contained in or derived from any BAs&rsquo; respective BA Virtual Office; (b) that is derived from any reports issued by RenovoVita to BAs to assist them in operating and managing their RenovoVita business; and/or (c) to which a BA would not have access or would not have acquired but for his/her affiliation with RenovoVita. Confidential Information constitutes proprietary business trade secrets belonging exclusively to RenovoVita and is provided to BAs in strict confidence. Confidential Information shall not be directly or indirectly disclosed to any third party nor used for any purpose other than BA&rsquo;s use in building and managing his/her Independent RenovoVita business.</li>
	<li><strong>Handling Personal Information. </strong>If you receive Personal Information from or about prospective customers, it is your responsibility to maintain its security. You should shred or irreversibly delete the Personal Information of others once you no longer need it. Personal Information is information that identifies, or permits you to contact, an individual. It includes a customer&rsquo;s, potential customer&rsquo;s name, address, email address, phone number, credit card information, social security or tax identification number and other information associated with these details.</li>
	<li><strong>Product Inventory &amp; Bonus Buying. </strong>BAs may not carry an inventory of RenovoVita products for resale unless he/she first contacts the Company in writing at <a href="mailto:support@renovovita.com"><span style="color:rgb(16, 109, 180)">support@renovovita.com</span></a> and explains why he/she needs an inventory of merchandise for resale. All products are direct shipped from the Company to the customer. In addition, bonus buying is strictly prohibited. Bonus buying is the purchase of merchandise for any reason other than bona fide resale or use, or any mechanism or artifice to qualify for incentives, prizes, commissions or bonuses that are not driven by bona fide product purchases by end user consumers for actual use.</li>
	<li><strong>Actions of Third-Parties.</strong> If a third party acting on behalf of, or with the active or passive assistance or knowledge of a BA engages in conduct that would be a violation of the Agreement, the conduct of the third-party may be imputed to the BA. &ldquo;Knowledge&rdquo; of misconduct is not limited to actual knowledge. If an BA engages in acts or omissions that the BA knows or SHOULD KNOW will enable a third party to violate this Agreement if such action was taken by the BA, the BA shall be deemed to have knowledge of the violation.</li>
	<li><strong>Tampering With Product Packaging.</strong> RenovoVita products must be sold in their original packaging. BAs shall not alter the original packaging or labeling.</li>
	<li><strong>Negative Comments</strong>. Complaints and concerns about RenovoVita should be directed to the customer Service Department. BAs must not disparage, demean, or make negative remarks to third parties or other BAs about RenovoVita, its owners, officers, directors, management, other RenovoVita BAs, the Marketing and Compensation plan, or RenovoVita&rsquo;s directors, officers, or employees. Disputes or disagreements between any BA and RenovoVita shall be resolved through the dispute resolution process, and the Company and BAs agree specifically not to demean, discredit, or criticize one another on the Internet or any other public forum.</li>
	<li><strong>Sales Receipts</strong>. BAs must provide their retail customers that purchase merchandise directly from the BA with <strong>two copies</strong> of an official RenovoVita sales receipt at the time of the sale and advise them of the three day right to rescind the transaction, which is set forth on the receipt. BAs must maintain all retail sales receipts for a period of two years and furnish them to RenovoVita at the Company&rsquo;s request. Sales receipts can be downloaded in PDF format from your Virtual Office. Retail customers who purchase from an IA&rsquo;s replicated website need not be provided with a sales receipt as the receipt will automatically be sent by the Company via email at the time the order is placed.</li>
	<li><strong>Adjustment to Bonuses and Commissions</strong>. Compensation stemming from product sales is fully earned when the applicable return, repurchase, and chargeback periods applicable to product sales have all expired. If a product is returned to RenovoVita for a refund or is repurchased by the Company, or a chargeback occurs, the compensation attributable to the returned or repurchased product(s) will be recovered by the Company. Unearned compensation will be deducted, in the month in which the refund is issued or the chargeback occurs and continuing every pay period thereafter until the commission is recovered, from the BA who received bonuses and commissions on the sales of the refunded products. Likewise if it is the responsibility of a BA to issue a refund to a customer, but RenovoVita issues the refund, the Company may deduct the amount refunded to the customer from the BA&rsquo;s subsequent bonuses and commissions. RenovoVita reserves the right to withhold or reduce any BA&rsquo;s compensation as it deems necessary to comply with any garnishment or court order directing RenovoVita to retain, hold, or redirect such compensation to a third party.</li>
	<li><strong>Return of Merchandise and Sales Aids by BAs Upon Cancellation or Termination.</strong> Within 30 days from the cancellation or termination of a BA&rsquo;s Agreement, the BA may return products and Sales Tools that he or she personally purchased from RenovoVita within 12 months prior to the date of cancellation (the one-year limitation shall not apply to residents of Maryland, Massachusetts and Wyoming) so long as the goods are in currently marketable condition and are returned to the Company within 30 days from the date of the BA&rsquo;s cancellation or termination. Upon the Company&rsquo;s timely receipt of returned goods and confirmation that they are in currently marketable condition, the BA will be reimbursed 90% of the net cost of the original purchase price(s).Shipping and handling charges will not be refunded. If the purchases were made through a credit card, the refund will be credited back to the same account. Goods are in &ldquo;currently marketable condition&quot; if they are unopened and unused and packaging and labeling has not been altered or damaged. Merchandise that is clearly identified at the time of sale as nonreturnable, closeout, discontinued, or as a seasonal item, or which has passed it commercially reasonable usable or shelf-life, is not in currently marketable condition. Virtual Office and Replicated website fees are not refundable except as may be required under applicable state law.</li>
	<li><strong>Satisfaction Promise. </strong>RenovoVita offers a money back promise on products returned within 30 days from the date of sale less shipping. Products shipped directly to the customer by the Company must be returned to the Company and a refund will be issued to the customer by the Company. NOTE &ndash; THIS SATISFACTION PROMISE APPLIES ONLY TO PRODUCTS PURCHASED DIRECTLY FROM RenovoVita. IT DOES NOT APPLY TO PRODUCTS PURCHASED ON EBAY, AMAZON, OR OTHER UNAUTHORIZED SELLER. If RenovoVita reasonably believes that an BA is abusing the satisfaction promise, the refund request will constitute the BA&rsquo;s voluntary cancellation of his/her BA Agreement, the refund will be processed as an inventory repurchase, and the BA&rsquo;s RenovoVita business will be cancelled. Products delivered to the customer by an Independent BA must be returned to the selling BA, and it shall be the responsibility of the BA to issue the refund to his/her customer. RenovoVita reserves the right to cancel the independent business of any BA that it reasonably believes is abusing the refund policy.</li>
	<li><strong>Other Cancellation Rights. </strong>Customers and Preferred Customers have three business days within which to cancel their initial purchase and obtain a full refund. Residents of Alaska have five business days and residents of North Dakota age 65 and over have 15 days to cancel and receive a full refund. An explanation of these rights is explained on the sales receipt.</li>
	<li><strong>Disciplinary Sanctions. </strong>Violation of the Agreement, any illegal, fraudulent, deceptive or unethical business conduct, or any act or omission by an BA that the Company reasonably believes may damage its reputation or goodwill, may result in the suspension or termination of the BA&rsquo;s RenovoVita business, and/or any other disciplinary measure that RenovoVita deems appropriate to address the misconduct. In situations deemed appropriate by RenovoVita, the Company may institute legal proceedings for monetary and/or equitable relief.</li>
	<li><strong>Indemnification.</strong> BAs agree to indemnify RenovoVita for any and all costs, expenses, consumer reimbursements, fines, sanctions, damages, settlements or payments of any other nature that RenovoVita incurs resulting from or relating to any act or omission by BA that is illegal, fraudulent, deceptive, negligent, unethical, or in violation of the Agreement. RenovoVita may elect to exercise its indemnification rights through withholding any compensation due the IA. This right of setoff shall not constitute RenovoVita&rsquo;s exclusive means of recovering or collecting funds due RenovoVita pursuant to its right to indemnification.</li>
	<li><strong>Effect of Cancellation. </strong>A BA whose business is cancelled for any reason will lose all BA rights, benefits and privileges. This includes the right to represent yourself as a BA, to sell RenovoVita products and services and the right to receive commissions, bonuses, or other income resulting from his/her own sales and the sales and other activities of the BA. There is no whole or partial refund for tangible sales kits that are not currently marketable, BA Virtual Office, replicated website or renewal fees if an BA&rsquo;s business is cancelled.</li>
	<li><strong>Business Transfers.</strong> BAs in good standing who wish to sell or transfer their business must receive RenovoVita&rsquo;s prior written approval before the business may be transferred. Requests to transfer a business must be submitted in writing to the Compliance Department at <a href="mailto:compliance@renovovita.com"><span style="color:rgb(16, 109, 180)">compliance@renovovita.com</span></a>. It is within RenovoVita&rsquo;s discretion whether to allow a business sale or transfer, but such authorization shall not be unreasonably withheld. However, no business that is on disciplinary probation, suspension, or under disciplinary investigation may be transferred unless and until the disciplinary matter is resolved. Prior to transferring a business to a third party, the BA must offer RenovoVita the right of first refusal to purchase the business on the same terms as negotiated with a third party. The Company shall have ten days to exercise its right of first refusal.</li>
	<li><strong>Transfer Upon an BA&rsquo;s Death.</strong> A BA may devise his/her business to his/her heirs. Because RenovoVita cannot divide commissions among multiple beneficiaries or transferees, the beneficiaries or transferees must form a business entity (corporation, LLC, partnership, etc.), and RenovoVita will transfer the business and issue commissions to the business entity. In the case of a business transfer vBA testamentary instrument, the beneficiary of the business must provide RenovoVita with certified letters testamentary and written instructions of the trustee of the estate, or an order of the court, that provides direction on the proper disposition of the business. The beneficiary must also execute and submit to the Company a RenovoVita BA Agreement within 30 days from the date on which the business is transferred by the estate to the beneficiary or the business will be cancelled.</li>
	<li><strong>Business Distribution Upon Divorce. </strong>RenovoVita is not able to divide commissions among multiple parties. Consequently, in divorce cases, any settlement or divorce decree must award the business in its entirety to one party. RenovoVita will recognize as the owner of the business the former spouse to who is awarded the business pursuant to a legally binding settlement agreement or decree of the court. The former spouse who receives the RenovoVita business must also execute and submit a RenovoVita BA Agreement within 30 days from the date on which the divorce becomes final or the business will be cancelled.</li>
	<li><strong>Dissolution of a Business Entity. </strong>RenovoVita is not able to divide commissions among multiple parties, nor is it able to divide a downline organization. Consequently, in the event that a business entity that operates a RenovoVita business dissolves, the owners of the business entity must instruct the Company on the identity of the proper party who is to receive the business. The RenovoVita business must be awarded to a single individual or entity that was previously recognized by the Company as an owner of the business entity; the Company cannot divide the business among multiple parties or issue separate commission payments. If the business entity wishes to sell or transfer its RenovoVita business, it must do so pursuant to policy 47. In addition, the recipient of the RenovoVita business must also execute and submit a RenovoVita BA Agreement to the Company within 30 days from the date of the dissolution of the business entity or the RenovoVita business will be cancelled.</li>
	<li><strong>Inducing BAs to Violate the Agreement.</strong> BAs shall not directly or indirectly induce, encourage, or assist another BA to violate the Agreement.</li>
	<li><strong>Reporting Errors.</strong> If a BA believes that RenovoVita has made an error in his/her compensation, he/she must report it to the Company in writing within 60 days from the date on which the mistake occurred. While RenovoVita shall use its best efforts to correct errors reported more than 60 days after the date of the error, RenovoVita shall not be responsible to make changes or remunerate BAs for losses for mistakes that are reported more than 60 days after the mistake occurs.</li>
	<li><strong>International Activities. </strong>BAs may not sell RenovoVita products or conduct business activities of any nature in any foreign country that the Company has not announced is officially open for business.</li>

<p>RenovoVita&trade; BA Terms &amp; Policies</p>

<ol>
	<li><strong>The Agreement. </strong>The term &ldquo;Agreement&rdquo; collectively refers to these Terms and Policies, the RenovoVita Compensation Plan, Brand Ambassadors shall be referred to herein as &ldquo;BAs.&rdquo; RenovoVita, Inc. shall be referred to as &ldquo;RenovoVita&rdquo; or the &ldquo;Company.&rdquo; Any promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect.</li>
	<li><strong>W-9 Form Required. </strong>RenovoVita utilizes the services of a third-party payment provider to pay commissions. You will be promoted to submit an IRS Form W-9 to our payment provider during the enrollment process.</li>
	<li><strong>Adherence to the Agreement.</strong> BAs must comply with the Agreement. If you have not yet reviewed the Terms and Policies at the time you execute this Agreement, they are posted in your BA Virtual Office. You must review the Terms and Policies within five days from the date on which you execute this Agreement. If you do not agree to the Terms and Policies, your sole recourse is to notify the Company and cancel your RenovoVita Agreement. Failure to cancel constitutes your acceptance of the Terms and Policies. You must be in good standing, and not in violation of the Agreement, to be eligible for bonuses or commissions from RenovoVita.</li>
	<li><strong>Amendments to the Agreement.</strong> The Company reserves the right to amend the Agreement at its discretion. Amendments shall be effective 30 days after notice and publication of the amended provisions in each IA&rsquo;s Virtual Office, but amendments shall not apply retroactively to conduct that occurred prior to the effective date of the amendment. If you do not agree to any amendments, your sole recourse is to cancel your RenovoVita Agreement.</li>
	<li><strong>BAs&rsquo; Rights. </strong>BAs for RenovoVita, LLC (hereinafter &ldquo;RenovoVita, &ldquo;):
	<ul>
		<li>Have the right to sell, and solicit orders for, RenovoVita products in accordance with these Terms and Policies. It is within the exclusive right of RenovoVita to accept or reject orders submitted by BAs;&nbsp;</li>
	</ul>
	</li>
	<li><strong>Independent Contractor Status. </strong>BAs are independent contractors and not employees, partners, legal representatives, or franchisees of RenovoVita, Inc. BAs are solely responsible for paying all expenses they incur, including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other business expenses. <strong>BAs SHALL NOT BE TREATED AS A RenovoVita EMPLOYEE FOR FEDERAL OR STATE TAX PURPOSES.</strong> RenovoVita is not responsible for withholding and shall not withhold or deduct FICA, or taxes of any kind from BAs&rsquo; compensation. BAs are not entitled to workers compensation or unemployment security benefits of any kind from RenovoVita.</li>
	<li><strong>Assignment of Rights and Delegation of Duties</strong>. BAs may not assign any rights under the Agreement without the prior written consent of RenovoVita, Inc. Any attempt to transfer or assign the Agreement without the express written consent of RenovoVita renders the Agreement voidable at the option of RenovoVita and may result in termination of your RenovoVita business.<br />
	If the assets of RenovoVita, or a controlling ownership interest in RenovoVita, is transferred to a third party, RenovoVita may assign its rights and delegate its duties and obligations under the Agreement to such third party as part of the sale or transfer.</li>
	<li><strong>Waiver</strong>. Any waiver by either Party of any breach of the Agreement must be in writing and signed by an authorized agent of the Party against which the waiver is asserted. Any waiver of a breach by a Party shall be a one-time waiver only and shall not operate or be construed as a waiver of any subsequent breach.</li>
	<li><strong>Waiver of Right of Publicity. </strong>BAs grant RenovoVita an irrevocable license to reproduce and use their name, photograph, video, personal story, testimonial, and/or likeness in its advertising or promotional materials, including but not limited to use in online forums. BAs waive all claims for remuneration for such use and all rights to inspect or approve all draft, beta, preliminary, and finished material.</li>
	<li><strong>Minimum Age</strong>. Persons under age 18 may not be BAs and no BA shall knowingly recruit or sponsor, or attempt to recruit or sponsor, any person under age 18.</li>
	<li><strong>Severance. </strong>If any provision of the Agreement, in its current form or as amended, is held void or unenforceable, only the void or unenforceable portion(s) of the provision shall be severed from the Agreement and the remaining provisions shall remain in effect. The severed provision shall be reformed so that it is in compliance with the law and reflects the purpose of the original provision as closely as possible. The existence of any claim or cause of action of a BA against RenovoVita shall not constitute a defense to RenovoVita&rsquo;s enforcement of any term or provision of the Agreement.</li>
	<li><strong>Term and Renewal of a RenovoVita Business.</strong> The term of this agreement is month to month (subject to cancellation pursuant to the Terms and Policies). It shall automatically renew each month. <strong>A participant in this program has a right to cancel at any time, regardless of reason.</strong> Cancellation must be submitted in writing to the company at its principal business address or via the BA&rsquo;s Virtual Office.</li>
	<li><strong>Maryland Residents</strong>: A participant may cancel the contract for any reason within 3 months after the date of receipt of goods or services first ordered; upon cancellation, the Company shall repurchase the goods; and the repurchase price shall be at least 90% of the original price paid by the participant.</li>
	<li><strong>General Conduct. </strong>BAs shall safeguard and promote the good reputation of RenovoVita and its products, and must avoid all illegal, deceptive, misleading, unethical or immoral conduct or practices, and must exhibit high moral character in their personal and professional conduct. BAs shall not engage in any conduct that may damage the Company&rsquo;s goodwill or reputation. While it is impossible to specify all misconduct that would be contrary to this provision, and the following list is not a limitation on the standards of conduct to which&nbsp; must adhere pursuant to this section, the following standards specifically apply to BAs&rsquo; activities:</li>
	<li>
	<ul>
		<li>Deceptive conduct is always prohibited. BAs must ensure that their statements are truthful, fair, accurate, and are not misleading;&nbsp;RenovoVita does not guarantee financial success or that a&nbsp;business will be profitable.</li>
		<li>If a BA&rsquo;s RenovoVita business is cancelled for any reason, the BA must discontinue using the RenovoVita name, and all other RenovoVita intellectual property, and all derivatives of such intellectual property, in postings on all Social Media, websites, or other promotional material.</li>
		<li>BAs may not represent or imply that any state or federal government official, agency, or body has approved or endorses RenovoVita, its program, or products.&nbsp;</li>
		<li>BAs must not engage in any illegal, fraudulent, deceptive, or manipulative conduct in their business or their personal lives that, in the Company&rsquo;s sole discretion, could damage the Company&rsquo;s reputation or the culture that exists within the field sales force.</li>
	</ul>
	</li>
</ol>

	<li><strong>Social Media.</strong> In addition to meeting all other requirements specified in these Terms &amp; Policies, should a BA utilize any form of social media in connection with her RenovoVita business, including but not limited to blogs, Facebook, Twitter, Linkedin, YouTube, or Pinterest, the BA agrees to each of the following:</li>
</ol>

	<li>
	<ul>
		<li>BAs are responsible for the content of all material that they produce and all of their postings on any social media site, as well as <strong><em>all</em></strong> postings on any social media site that they own, operate, or control.</li>
		<li>BAs shall not make any social media postings, or link to or from any postings or other material that is sexually explicit, obscene, pornographic, offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing, or discriminatory (whether based on race, ethnicity, creed, religion, gender, sexual orientation, physical disability, or otherwise), is graphically violent, is solicitous of any unlawful behavior, that engages in personal attacks on any individual, group, or entity, or is in violation of any intellectual property rights of the Company or any third party.</li>
		<li>&middot; No product sales or enrollments may occur on or through any social media site. To process sales or enrollments, a social media site must link only to the BA&rsquo;s RenovoVita replicated website, RenovoVita&rsquo;s corporate website or an official RenovoVita corporate social media page.</li>
		<li>It is each BA&rsquo;s responsibility to follow the social media site&rsquo;s terms of use.</li>
		<li>Any social media site that is directly or indirectly operated or controlled by a BA that is used to discuss or promote RenovoVita&rsquo;s products, or the RenovoVita opportunity may not link to any website, social media site, or site of any other nature that promotes the products, services, or business program of any direct selling company other than RenovoVita.</li>
		<li>During the term of the Agreement and for 12 calendar months after the cancellation of an BA&rsquo;s business for any reason, a BA shall not take any action on any social media site on which they discuss or present, or have discussed or presented, RenovoVita&rsquo;s products or the RenovoVita business that may reasonably be foreseen to draw an inquiry from RenovoVita&rsquo;s BAs relating to the BA&rsquo;s other direct selling business activities or products. Violation of this provision shall constitute a violation of the nonsolicitation provision in Policy 26.</li>
		<li>BAs shall respect the privacy of other social media users. BAs shall not engage in abusive social media practices including but not limited to harvesting or trolling for connections, shaming or bullying others.</li>
	</ul>
	</li>
</ol>

<ol start="16">
	<li><strong>BA Web Sites, Mobile Applications and Collateral Sales Tools</strong>. BAs may create their own websites or mobile applications, and other collateral sales tools to promote RenovoVita&rsquo;s products and services (websites, mobile applications and collateral sales tools shall be collectively referred to as &ldquo;Tools.&rdquo; but such Tools must comply with the following:</li>
</ol>

<ol>
	<li>
	<ul>
		<li>Tools may not take and/or process product or service orders or product sales.</li>
		<li>Any external website (or mobile app) must be directed to the BA&rsquo;s replicated website to process sales.</li>
		<li>The Tools must clearly and conspicuously identify the BA who is using the Tools and must clearly and conspicuously disclose that he/she is a RenovoVita BA, and that the Tools are not RenovoVita&rsquo;s corporate Tools.</li>
		<li>The Tools must exclusively promote RenovoVita&rsquo;s products;</li>
		<li>The Tools must comply with all provisions of RenovoVita&rsquo;s Terms &amp; Policies;</li>
	</ul>
	</li>
</ol>

<ol start="17">
	<li><strong>Trademarks and Copyrights.</strong> The name &ldquo;RenovoVita&rdquo; and other names as may be adopted by the Company are proprietary trade names, trademarks and service marks of RenovoVita. The Company grants BAs a limited license to use its trademarks and trade names in promotional media for so long as the BA&rsquo;s Agreement is in effect. Upon cancellation of an BA&rsquo;s Agreement for any reason, the license shall expire and the BA shall immediately discontinue all use of the Company&rsquo;s trademarks and trade names. Under no circumstances may a BA use any of RenovoVita&rsquo;s trademarks or trade names in any email address, website domain name, social media handle, social media name or address. RenovoVita commonly puts on live and recorded events as well as webinars and telephone conference calls. During these events Company executives, BAs, and guests appear and speak. The content of such events is copyrighted material that is owned exclusively by the Company. BAs may not record company functions for any reason, whether such event is live, a webinar, via conference call, or delivered through any other medium.<br />
	In addition, Company produced Sales Tools, videos, audios, podcasts, and printed material is also copyrighted. BAs shall not copy any such materials for their personal or business use without the Company&rsquo;s prior written approval.</li>
	<li><strong>Sales Outlets</strong>. To support the Company&rsquo;s direct selling distribution channel and to protect the independent contractor relationship, BAs agree that they will not sell RenovoVita products in any wholesale, warehouse, or discount establishment, or any online auction or buy-sell site (including but not limited to eBay) without prior written approval from RenovoVita. Notwithstanding the foregoing, BAs may display and sell RenovoVita products at professional trade shows.</li>
	<li><strong>Service-Related Establishments.</strong> BAs shall not promote or sell RenovoVita products in service-related establishment without the Company&rsquo;s prior written approval. Such establishments include offices of doctors, dentists and other health professionals; health clubs or fitness centers; beauty salons; and any other business where customer use of the establishment is controlled by membership or appointment. RenovoVita reserves the right to make the final determination as to whether an establishment is service-related or is a proper place for the sale of its products.</li>
	<li><strong>Product Claims. </strong>BAs must not make claims, including but not limited to testimonials, about RenovoVita&rsquo;s products or services that are not contained in official RenovoVita literature or posted on RenovoVita&rsquo;s official website. Under no circumstances shall any BA state or imply that any RenovoVita product is useful in the diagnosis, treatment, cure, or prevention of any disease, illness, injury, or other medical condition.</li>
	<li><strong>Media Inquiries.</strong> BAs must not interact with the media regarding the RenovoVita business or products. All inquiries from the media, including radio, television, print, online, or any other medium, shall be directed to RenovoVita&rsquo;s marketing department.</li>
	<li><strong>Confidential Information</strong>. &ldquo;Confidential Information&rdquo; includes, but is not limited to, the identities, contact information, and/or sales information relating to RenovoVita&rsquo;s BAs and/or customers: (a) that is contained in or derived from any BAs&rsquo; respective BA Virtual Office; (b) that is derived from any reports issued by RenovoVita to BAs to assist them in operating and managing their RenovoVita business; and/or (c) to which a BA would not have access or would not have acquired but for his/her affiliation with RenovoVita. Confidential Information constitutes proprietary business trade secrets belonging exclusively to RenovoVita and is provided to BAs in strict confidence. Confidential Information shall not be directly or indirectly disclosed to any third party nor used for any purpose other than BA&rsquo;s use in building and managing his/her Independent RenovoVita business.</li>
	<li><strong>Handling Personal Information. </strong>If you receive Personal Information from or about prospective customers, it is your responsibility to maintain its security. You should shred or irreversibly delete the Personal Information of others once you no longer need it. Personal Information is information that identifies, or permits you to contact, an individual. It includes a customer&rsquo;s, potential customer&rsquo;s name, address, email address, phone number, credit card information, social security or tax identification number and other information associated with these details.</li>
	<li><strong>Product Inventory &amp; Bonus Buying. </strong>BAs may not carry an inventory of RenovoVita products for resale unless he/she first contacts the Company in writing at <a href="mailto:support@renovovita.com"><span style="color:rgb(16, 109, 180)">support@renovovita.com</span></a> and explains why he/she needs an inventory of merchandise for resale. All products are direct shipped from the Company to the customer. In addition, bonus buying is strictly prohibited. Bonus buying is the purchase of merchandise for any reason other than bona fide resale or use, or any mechanism or artifice to qualify for incentives, prizes, commissions or bonuses that are not driven by bona fide product purchases by end user consumers for actual use.</li>
	<li><strong>Actions of Third-Parties.</strong> If a third party acting on behalf of, or with the active or passive assistance or knowledge of a BA engages in conduct that would be a violation of the Agreement, the conduct of the third-party may be imputed to the BA. &ldquo;Knowledge&rdquo; of misconduct is not limited to actual knowledge. If an BA engages in acts or omissions that the BA knows or SHOULD KNOW will enable a third party to violate this Agreement if such action was taken by the BA, the BA shall be deemed to have knowledge of the violation.</li>
	<li><strong>Tampering With Product Packaging.</strong> RenovoVita products must be sold in their original packaging. BAs shall not alter the original packaging or labeling.</li>
	<li><strong>Negative Comments</strong>. Complaints and concerns about RenovoVita should be directed to the customer Service Department. BAs must not disparage, demean, or make negative remarks to third parties or other BAs about RenovoVita, its owners, officers, directors, management, other RenovoVita BAs, the Marketing and Compensation plan, or RenovoVita&rsquo;s directors, officers, or employees. Disputes or disagreements between any BA and RenovoVita shall be resolved through the dispute resolution process, and the Company and BAs agree specifically not to demean, discredit, or criticize one another on the Internet or any other public forum.</li>
	<li><strong>Sales Receipts</strong>. BAs must provide their retail customers that purchase merchandise directly from the BA with <strong>two copies</strong> of an official RenovoVita sales receipt at the time of the sale and advise them of the three day right to rescind the transaction, which is set forth on the receipt. BAs must maintain all retail sales receipts for a period of two years and furnish them to RenovoVita at the Company&rsquo;s request. Sales receipts can be downloaded in PDF format from your Virtual Office. Retail customers who purchase from an IA&rsquo;s replicated website need not be provided with a sales receipt as the receipt will automatically be sent by the Company via email at the time the order is placed.</li>
	<li><strong>Adjustment to Bonuses and Commissions</strong>. Compensation stemming from product sales is fully earned when the applicable return, repurchase, and chargeback periods applicable to product sales have all expired. If a product is returned to RenovoVita for a refund or is repurchased by the Company, or a chargeback occurs, the compensation attributable to the returned or repurchased product(s) will be recovered by the Company. Unearned compensation will be deducted, in the month in which the refund is issued or the chargeback occurs and continuing every pay period thereafter until the commission is recovered, from the BA who received bonuses and commissions on the sales of the refunded products. Likewise if it is the responsibility of a BA to issue a refund to a customer, but RenovoVita issues the refund, the Company may deduct the amount refunded to the customer from the BA&rsquo;s subsequent bonuses and commissions. RenovoVita reserves the right to withhold or reduce any BA&rsquo;s compensation as it deems necessary to comply with any garnishment or court order directing RenovoVita to retain, hold, or redirect such compensation to a third party.</li>
	<li><strong>Return of Merchandise and Sales Aids by BAs Upon Cancellation or Termination.</strong> Within 30 days from the cancellation or termination of a BA&rsquo;s Agreement, the BA may return products and Sales Tools that he or she personally purchased from RenovoVita within 12 months prior to the date of cancellation (the one-year limitation shall not apply to residents of Maryland, Massachusetts and Wyoming) so long as the goods are in currently marketable condition and are returned to the Company within 30 days from the date of the BA&rsquo;s cancellation or termination. Upon the Company&rsquo;s timely receipt of returned goods and confirmation that they are in currently marketable condition, the BA will be reimbursed 90% of the net cost of the original purchase price(s).Shipping and handling charges will not be refunded. If the purchases were made through a credit card, the refund will be credited back to the same account. Goods are in &ldquo;currently marketable condition&quot; if they are unopened and unused and packaging and labeling has not been altered or damaged. Merchandise that is clearly identified at the time of sale as nonreturnable, closeout, discontinued, or as a seasonal item, or which has passed it commercially reasonable usable or shelf-life, is not in currently marketable condition. Virtual Office and Replicated website fees are not refundable except as may be required under applicable state law.</li>
	<li><strong>Satisfaction Promise. </strong>RenovoVita offers a money back promise on products returned within 30 days from the date of sale less shipping. Products shipped directly to the customer by the Company must be returned to the Company and a refund will be issued to the customer by the Company. NOTE &ndash; THIS SATISFACTION PROMISE APPLIES ONLY TO PRODUCTS PURCHASED DIRECTLY FROM RenovoVita. IT DOES NOT APPLY TO PRODUCTS PURCHASED ON EBAY, AMAZON, OR OTHER UNAUTHORIZED SELLER. If RenovoVita reasonably believes that an BA is abusing the satisfaction promise, the refund request will constitute the BA&rsquo;s voluntary cancellation of his/her BA Agreement, the refund will be processed as an inventory repurchase, and the BA&rsquo;s RenovoVita business will be cancelled. Products delivered to the customer by an Independent BA must be returned to the selling BA, and it shall be the responsibility of the BA to issue the refund to his/her customer. RenovoVita reserves the right to cancel the independent business of any BA that it reasonably believes is abusing the refund policy.</li>
	<li><strong>Other Cancellation Rights. </strong>Customers and Preferred Customers have three business days within which to cancel their initial purchase and obtain a full refund. Residents of Alaska have five business days and residents of North Dakota age 65 and over have 15 days to cancel and receive a full refund. An explanation of these rights is explained on the sales receipt.</li>
	<li><strong>Disciplinary Sanctions. </strong>Violation of the Agreement, any illegal, fraudulent, deceptive or unethical business conduct, or any act or omission by an BA that the Company reasonably believes may damage its reputation or goodwill, may result in the suspension or termination of the BA&rsquo;s RenovoVita business, and/or any other disciplinary measure that RenovoVita deems appropriate to address the misconduct. In situations deemed appropriate by RenovoVita, the Company may institute legal proceedings for monetary and/or equitable relief.</li>
	<li><strong>Indemnification.</strong> BAs agree to indemnify RenovoVita for any and all costs, expenses, consumer reimbursements, fines, sanctions, damages, settlements or payments of any other nature that RenovoVita incurs resulting from or relating to any act or omission by BA that is illegal, fraudulent, deceptive, negligent, unethical, or in violation of the Agreement. RenovoVita may elect to exercise its indemnification rights through withholding any compensation due the IA. This right of setoff shall not constitute RenovoVita&rsquo;s exclusive means of recovering or collecting funds due RenovoVita pursuant to its right to indemnification.</li>
	<li><strong>Effect of Cancellation. </strong>A BA whose business is cancelled for any reason will lose all BA rights, benefits and privileges. This includes the right to represent yourself as a BA, to sell RenovoVita products and services and the right to receive commissions, bonuses, or other income resulting from his/her own sales and the sales and other activities of the BA. There is no whole or partial refund for tangible sales kits that are not currently marketable, BA Virtual Office, replicated website or renewal fees if an BA&rsquo;s business is cancelled.</li>
	<li><strong>Business Transfers.</strong> BAs in good standing who wish to sell or transfer their business must receive RenovoVita&rsquo;s prior written approval before the business may be transferred. Requests to transfer a business must be submitted in writing to the Compliance Department at <a href="mailto:compliance@renovovita.com"><span style="color:rgb(16, 109, 180)">compliance@renovovita.com</span></a>. It is within RenovoVita&rsquo;s discretion whether to allow a business sale or transfer, but such authorization shall not be unreasonably withheld. However, no business that is on disciplinary probation, suspension, or under disciplinary investigation may be transferred unless and until the disciplinary matter is resolved. Prior to transferring a business to a third party, the BA must offer RenovoVita the right of first refusal to purchase the business on the same terms as negotiated with a third party. The Company shall have ten days to exercise its right of first refusal.</li>
	<li><strong>Transfer Upon an BA&rsquo;s Death.</strong> A BA may devise his/her business to his/her heirs. Because RenovoVita cannot divide commissions among multiple beneficiaries or transferees, the beneficiaries or transferees must form a business entity (corporation, LLC, partnership, etc.), and RenovoVita will transfer the business and issue commissions to the business entity. In the case of a business transfer vBA testamentary instrument, the beneficiary of the business must provide RenovoVita with certified letters testamentary and written instructions of the trustee of the estate, or an order of the court, that provides direction on the proper disposition of the business. The beneficiary must also execute and submit to the Company a RenovoVita BA Agreement within 30 days from the date on which the business is transferred by the estate to the beneficiary or the business will be cancelled.</li>
	<li><strong>Business Distribution Upon Divorce. </strong>RenovoVita is not able to divide commissions among multiple parties. Consequently, in divorce cases, any settlement or divorce decree must award the business in its entirety to one party. RenovoVita will recognize as the owner of the business the former spouse to who is awarded the business pursuant to a legally binding settlement agreement or decree of the court. The former spouse who receives the RenovoVita business must also execute and submit a RenovoVita BA Agreement within 30 days from the date on which the divorce becomes final or the business will be cancelled.</li>
	<li><strong>Dissolution of a Business Entity. </strong>RenovoVita is not able to divide commissions among multiple parties, nor is it able to divide a downline organization. Consequently, in the event that a business entity that operates a RenovoVita business dissolves, the owners of the business entity must instruct the Company on the identity of the proper party who is to receive the business. The RenovoVita business must be awarded to a single individual or entity that was previously recognized by the Company as an owner of the business entity; the Company cannot divide the business among multiple parties or issue separate commission payments. If the business entity wishes to sell or transfer its RenovoVita business, it must do so pursuant to policy 47. In addition, the recipient of the RenovoVita business must also execute and submit a RenovoVita BA Agreement to the Company within 30 days from the date of the dissolution of the business entity or the RenovoVita business will be cancelled.</li>
	<li><strong>Inducing BAs to Violate the Agreement.</strong> BAs shall not directly or indirectly induce, encourage, or assist another BA to violate the Agreement.</li>
	<li><strong>Reporting Errors.</strong> If a BA believes that RenovoVita has made an error in his/her compensation, he/she must report it to the Company in writing within 60 days from the date on which the mistake occurred. While RenovoVita shall use its best efforts to correct errors reported more than 60 days after the date of the error, RenovoVita shall not be responsible to make changes or remunerate BAs for losses for mistakes that are reported more than 60 days after the mistake occurs.</li>
	<li><strong>International Activities. </strong>BAs may not sell RenovoVita products or conduct business activities of any nature in any foreign country that the Company has not announced is officially open for business.</li>
